Need lawyer to create seller's agreement

I am looking to sell precision industrial inspection equipment to an LLC that will resale the equip. I want an agreement that states no warranty on equip and lays out payment for equip based upon proceeds from LLC’s sale of equip to other parties.

I have serial numbers for all the equipment that will need to be included in the Seller Agreement.
